Significant contract

The Board of Directors of ALMA MARKET S.A. ('Company') hereby informs that on 22 June 2012 the Company signed a lease agreement as a tenant with Riviera UBM limited liability company ("UBM"), based in Warsaw, as a landlord.


The subject of contracts is tenancy of office space and car park places by the Alma Market SA in the building which UBM undertakes to build on land located in Krakow, at 6 Pilotów St.
The value of the contract for the lease period (on the basis of the value of rents in the first year of operations) equals  approximately PLN 22.8 million net (excl. VAT)


The agreement has been concluded for 10 years starting on the day on which premises will be hand over to the Company,  that is not later than May 31, 2014, with an option to extend the lease for another five-year periods. The agreement was concluded under the precedent condition, which is the execution by UBM as a buyer a definitive agreement to buy the property – which is  the right of perpetual usufruct of land located in Krakow at 6 Pilotów St. - no later than till September 24, 2012.
The criterion for recognizing the Agreements as a significant one is the value of the contract during the term of lease exceeding the value of 10% equity of Alma Market SA.


Simultaneously the Board of Directors of ALMA MARKET S.A. announces that the total value of all contracts entered into by the Group companies with UBM over the last 12 months is PLN  approximately  71 million, of which the contract with the highest value is the one described in this paper.
