Establishment of two subsidiaries

The Board of Directors of ALMA Market SA hereby informs that on day 17th February 2009 ALMA MARKET SA has established two subsidiaries: AM1 sp. z o.o. and AM2 sp. z o.o. becoming their sole shareholder. The Company has also paid their registered capital in the amount of PLN 5,000 for each company from own sources.

AM1 sp. z o.o. and AM2 sp. z o.o. are special purpose companies that will take part in managing of property projects of companies of ALMA MARKET SA Group.

In each of the companies (AM1 sp. z o.o. i AM2 sp. z o.o.) initial capital amounts PLN 5,000 and divides into 100 (hundred) equal and indivisible shares with its face value PLN 500 (five hundred) per share. Each share gives one voting right during Assembly of Partners of those companies.

The criteria for recognizing the assets as the significant ones is fact that ALMA MARKET SA has obtained 100% of both companies’ share capital.
